    Doğal gaz alım sözleşmelerinde al ya da öde klozu ve benzeri diğer klozlar

    Doğal gaz temiz, emniyetli ve kullanışlı olması sebebiyle günümüzde oldukça önemli bir enerji kaynağıdır. Ancak gerek üretici ülkelerin bu alanda monopol bir yapı sergilemesi ve gerekse doğal gaz üretimi ve diğer faaliyetlerinin büyük yatırımları gerektirmesi üreticiler ile alıcılar arasında uzun dönemli gaz tedarik sözleşmeleri akdedilmesi zaruretini doğurmuştur. Bu tür sözleşmelere eklenen al ya da öde hükümleri ile sektörel riskler özellikle üretici riskleri bertaraf edilmeye çalışılmaktadır. Konu şimdiye kadar Türk hukukunda ele alınmamıştır. Çalışmanın birinci bölümünde doğal gaz alım sözleşmelerinin genel özellikleri ve al ya da öde kayıtlarının ortaya çıkış sebepleri üzerinde durulacak, ikinci bölümünde ise al ya da öde kayıtlarının muhtevası ve benzer kayıtlar ile karşılaştırılması suretiyle hukuki niteliği araştırılacaktır. Çalışmanın son bölümünde mukayeseli hukukta al ya da öde kaydı incelenecektir.AbstractAs a clean, safe and useful energy supply natural gas is a vital energy source of our times. Because of the monopolist structure of producer countries in the industry and the required high investment costs resulted in the development of long term gas supply contracts between the producer and the supplier. Such contracts protect gas producers against the possibility of hold-up, after they have made a decision to invest in facilities to exploit gas deposits. Such contracts usually incorporate the so called ?take or pay? clauses. This topic has not been dealt within the Turkish literature yet. The aim of the thesis is to make a detailed research on take or pay clauses. Therefore thesis will begin as a starting point with the characteristics of natural gas purchase contracts in Chapter 1 and introduce the general remarks of take or pay clauses included in natural gas purchase contracts in Chapter 2. Herein thesis will try to point out the contents of the take or pay commitments and concentrate on the legal qualification of such commitments by making a comparison with other similar contractual clauses. Last Chapter will analyse the take or pay clause in comparative law.
